Description:
Expert services as well as active support in the
Change in the financing structure (refinancing) of four
Companies with participations of the Free State of Bavaria or
LfA development bank Bavaria.
The services to be provided are divided into 2 lots:
•LOT 1 financial analysis and implementation
•LOS 2 legal analysis and implementation:
Capital injection:
•Preparation of an integrated planning calculation (earnings, assets and financial position) in the event of a capital injection (LOT 1)
•Creation of a repayment framework for the debtor warrants in the event of a capital injection (LOT 1)
•Creation a private investor test for a capital injection (LOSE 1&2)
•Analysis of the planned capital injection, taking into account corporate, budgetary, tax and state aid aspects (LOS 2)
•Legal support (LOS 2) and active support (LOSE 1&2) in the implementation of the Capital injection
Optional service: Debt-to-equity swap
•Update of the integrated planning calculation (earnings, assets and financial position) in the case of debt-to-equity swaps (LOT 1)
•Update of a repayment framework for the debtor warrants in the case of debt-to-equity swap (LOT 1)
•Creation a private investor test in the case of a debt-to-equity swap (LOSE 1&2)
•Analysis of the planned debt-to-equity swap, taking into account corporate, budgetary, tax and state aid aspects (LOS 2)
